COHERA has developed both product streams and advisory services. The product streams below are designed around the financial reality of the sector they serve. CHPs are charities with constrained reserves and heavy compliance obligations. Both Stream 1 and Stream 2 are structured as monthly retainers rather than front-loaded fixed fees, so the cost of the engagement is cash flowed across several months.

Stream 1: SPV Establishment

6 Month Engagement

Focused on the governance and corporate administrative architecture required when a CHP establishes a new SPV or joint venture — building the right foundations from Day 1.

  • Drafting the SPV constitution, board charter, and terms of reference to establish clear decision-making authority from inception.

    Ensures defined accountability boundaries between the CHP and its development partner from Day 1.

  • Defining director competencies- finance, construction, legal - aligned to the project’s risk profile.

    Ensures the Board has the technical capability to oversee a private sector partner and complex delivery.

  • Establishing conflict of interest policy and information barriers between the parent CHP and the SPV.

    Protects the CHP’s charitable status and National Regulatory System for Community Housing (NRSCH) registration while enabling commercial agility.

  • Setting delegations of authority and gateway approval milestones for the development program.

    Empowers management to operate at market pace while keeping the Board in control of high-risk gate decisions.

Stream 2: In-Flight Governance

6–12 Month Engagement

Focused on strengthening the governance capability of an existing organisation or live development program — diagnosing where governance drag is occurring and rebuilding the information architecture.

  • A review of the current Board reporting cycle, information flow, and decision-making pathways.

    Identifies where governance drag is occurring and why the Board may feel under-informed on material risks.

  • Implementing a project systems framework to aggregate data from site operations, finance, and compliance into a unified reporting structure.

Corporate Governance

  • Outsourced or advisory company secretariat services including board agenda management, paper preparation, minute-taking, and regulatory filings.

  • Independent governance reviews with external input, supporting the three-yearly review cycle expected of Tier 1 and Tier 2 providers under the NRSCH Evidence Guidelines.

Project & Operational Governance

  • End-to-end support for EOI and DAP applications to Housing Australia, State Government funding programs, and institutional capital sources.

  • Assessment of how information is collected, analysed, and supplied to decision-makers. Clarification of governance forums, terms of reference, membership, cadence, and escalation structures.

  • Establishing or refining policy and procedural documentation for consistent, auditable process - including contract management, project management, and asset management plans.

  • Independent reviews of project progress for Executive and Board consumption, conducted quarterly or at defined investment milestones.

  • One-off independent assessments of project health, governance compliance, and risk exposure.
